Terms of Service

These terms are the agreement between you and HaloGather. They explain how you can use our ticketing software, what you're responsible for, and the legal details. By using HaloGather, you agree to them.

The short version

  • HaloGather is software that lets organizers sell tickets through their own Stripe account. We're not the seller of any event, and we never hold your money.
  • Organizers are responsible for their events, ticket listings, refunds, and how they handle their attendees' information.
  • Buyers' tickets are sold by the organizer, not by us — refund and entry questions go to the organizer.
  • We charge organizers a software fee (a plan or a per-ticket fee) and take 0% of ticket sales.

1. Agreement to these terms

These Terms of Service ("Terms") are a binding agreement between you and Bear Media Services, LLC, which operates Halo Logic and HaloGather ("HaloGather," "we," "us," or "our"). They govern your use of halogather.com, the HaloGather application and gate tools, the embeddable checkout widget, and related services (the "Service").

By creating an account, selling tickets, buying a ticket, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Definitions

  • "Organizer" — a person or entity that uses HaloGather to create events and sell tickets.
  • "Buyer" or "Attendee" — a person who purchases or holds a ticket.
  • "Event" — an event for which an Organizer sells tickets through the Service.
  • "Service" — the HaloGather software, websites, and related tools.

3. What HaloGather is — and isn't

HaloGather is software that lets Organizers sell tickets directly to Buyers through the Organizer's own Stripe account. We provide the tools — event pages, checkout, ticket delivery, and gate check-in.

We are not the seller, merchant of record, producer, or host of any event; we do not take title to or custody of any ticket-sale funds; and we are not a party to the contract between an Organizer and a Buyer. Each ticket sale is a transaction directly between the Organizer and the Buyer.

The Organizer alone is responsible for its events, ticket terms, pricing, fulfillment, refunds, and compliance with the law.

4. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service as an Organizer. You are responsible for the accuracy of your account information, for keeping your login credentials secure, and for all activity under your account. Tell us promptly if you suspect unauthorized use. You are responsible for anyone you invite (such as gate staff) and the access you grant them.

5. Organizer terms

Your events and listings

You are responsible for creating accurate event and ticket listings, honoring the tickets you sell, running your event lawfully, and delivering the goods or experiences you advertise. You must have all rights and permissions needed to hold your event and sell its tickets.

Payments and Stripe

To sell tickets you must connect a Stripe account and keep it in good standing. Payments are processed by Stripe directly on your connected account, and you are the merchant of record. Your use of Stripe is governed by Stripe's Connected Account Agreement and Services Agreement, which you agree to comply with. You are responsible for all card-processing fees Stripe charges, for chargebacks and disputes, and for any taxes (including sales, use, amusement, or similar taxes) arising from your ticket sales. HaloGather does not collect, hold, or remit your sale proceeds and does not file taxes on your behalf.

Refunds and cancellations

Refunds, exchanges, and event cancellations are your responsibility. You set your own refund policy, communicate it to your Buyers, and issue refunds (we provide tools to help). If you cancel or materially change an event, you are responsible for handling Buyer refunds and communications. HaloGather is not responsible for refunding Buyers and does not control your funds.

Your attendees' information

When you collect Buyer information through the Service, you are responsible for handling it lawfully — including giving any required notices, honoring privacy rights, and using the information only for legitimate purposes related to your event. You appoint HaloGather to process that information on your behalf to provide the Service. You will not use attendee information for unlawful or deceptive purposes or sell it in violation of law, and you are responsible for your own privacy disclosures to your attendees.

Acceptable events and items

You may not use the Service to sell tickets to, or in connection with, anything illegal, fraudulent, or prohibited — including events involving illegal activity, hateful or violent content, weapons, regulated or illicit goods, or anything that violates third-party rights or applicable law. We may refuse, remove, or suspend events or accounts that violate these Terms.

6. Fees and billing (Organizers)

HaloGather charges for software, never a percentage of your ticket sales — we take 0% of your sales. You choose either a subscription plan (billed every three months in advance) or pay-as-you-go pricing (a flat per-ticket software fee added at checkout). Current pricing is on our Pricing page.

  • Subscriptions renew automatically each quarter until cancelled. You authorize Stripe to charge your payment method for each renewal.
  • You can change plans at any time; changes are prorated against what you have already paid.
  • You can cancel anytime, which stops future renewals. Subscription fees already paid are non-refundable except where required by law. After a subscription ends you keep access to your account and historical data, but you cannot sell new tickets until you have an active plan or use pay-as-you-go.
  • If a renewal payment fails, we may keep your events selling for a short grace period while Stripe retries the charge; if it remains unpaid, selling pauses.
  • We may change our fees on a going-forward basis with notice; changes will not affect the period you have already paid for.

7. Buyer terms

When you buy a ticket, you are buying from the Organizer, not from HaloGather. Your purchase, the event, and any refund are subject to the Organizer's own terms and policies. HaloGather provides the checkout, delivers your ticket, and processes the QR code used at the gate, but is not responsible for the event itself, its cancellation, or refunds — those are between you and the Organizer.

Your ticket and its QR code are for your use to enter the event and are subject to the Organizer's entry rules. Do not copy, sell, or share your ticket token in ways that enable fraudulent entry; duplicate or fraudulent tickets may be refused. For questions about an event, a refund, or your order, contact the Organizer.

8. Acceptable use

You agree not to:

  • Use the Service unlawfully or to commit fraud.
  • Interfere with, disrupt, or attack the Service or its security.
  • Attempt to access data you are not authorized to access, including other Organizers' or Buyers' information.
  • Scrape, copy, resell, or create derivative services from the Service.
  • Circumvent fees, ticket caps, or usage limits.
  • Upload malicious code, or misuse the embeddable widget to impersonate or deceive.

You will comply with all laws applicable to your use of the Service.

9. Intellectual property

We own the Service and all related software, content, and trademarks (including the HaloGather and Halo Logic names and logos). We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service as intended. You keep ownership of the content you submit (such as event descriptions and images), and you grant us a license to host, display, and use it as needed to provide the Service.

10. Third-party services

The Service relies on third parties, including Stripe for payments, and operates on infrastructure such as Supabase and Vercel. Your use of those services may be subject to their own terms, and we are not responsible for third-party services we do not control.

11. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any event will take place. You use the Service at your own risk.

12. Limitation of liability

To the fullest extent permitted by law, HaloGather and its owners and personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or relating to your use of the Service.

Because we are not the seller of any event and do not hold ticket funds, we are not liable for any event, its cancellation, an Organizer's or Buyer's conduct, or any refund. Our total liability for any claim relating to the Service will not exceed the greater of (a) the software fees you paid us in the 12 months before the claim or (b) USD $100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless HaloGather, Bear Media Services, LLC, and its owners and personnel from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your events, your use of the Service, your content, your handling of attendee information, or your violation of these Terms or the law.

14. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you violate these Terms, create risk or legal exposure, or for prolonged non-payment. We will try to give reasonable notice where practical. Provisions that by their nature should survive termination (such as fees owed, disclaimers, liability limits, and indemnities) will survive.

15. Governing law and disputes

These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules. The state and federal courts located in Ohio will have exclusive jurisdiction over any dispute that is not otherwise resolved, and you consent to venue there. Before filing anything, you agree to first contact us at info@halogather.com so we can try to resolve the matter informally.

16. Changes to these terms

We may update these Terms from time to time. We will revise the "Last updated" date above and, for material changes, give a more prominent notice. Continuing to use the Service after changes take effect means you accept the updated Terms.

17. Other terms

  • These Terms and the Privacy Policy are the entire agreement between you and us about the Service.
  • If any provision is found unenforceable, the rest stays in effect.
  • Our failure to enforce a provision is not a waiver of it.
  • You may not assign these Terms without our consent; we may assign them to an affiliate or successor.
  • We are not liable for delays or failures caused by events beyond our reasonable control.
  • Notices to you may be sent to your account email; notices to us go to the contact below.
